These Terms of Service ("Terms") govern your use of the ClivoCRM mobile application on iOS and Android, together with the related cloud services, account features, AI features, and subscriptions that Clivo Ventures Private Limited ("Clivo", "we", "our", or "us") makes available (together, the "Service").

These Terms add to, and do not replace, the ClivoCRM End User License Agreement ("EULA") at https://clivo.io/clivocrm/eula. The EULA governs your license to install and use the ClivoCRM application. These Terms govern your account, our cloud services, AI features, subscriptions, and the overall service relationship. Together with the EULA and the ClivoCRM Privacy Policy (https://clivo.io/clivocrm/privacy), they form the complete agreement between you and Clivo for the Service. On the license to use the application, the EULA prevails; on accounts and cloud services, these Terms prevail.

By creating an account, signing in, or using the Service, you agree to these Terms. If you are using the Service for a business or organisation, you confirm that you are authorised to accept these Terms on its behalf. If you do not agree, you must not use the Service.

1. ELIGIBILITY AND ACCOUNTS

1.1 Business use and age

The Service is a business tool. You must be at least 18 years old and use the Service for business or professional purposes, either for yourself or for the business or organisation that holds the ClivoCRM subscription (the "Customer").

1.2 Accounts

Accounts are created on our website, either by you or by the Customer. The App does not create accounts. You may sign in with your work email and password, or with Google Sign-In or Sign in with Apple where offered. You must give accurate information and keep it up to date.

1.3 Customer administrators

The Customer controls its workspace. Its administrators can add and remove users, set roles and permissions, view and manage CRM content, and end the subscription. If your account was created by a Customer, the Customer may manage, suspend, or remove it.

1.4 Account security

You are responsible for keeping your credentials confidential and for all activity under your account. You must notify us immediately at support@clivotech.io if you suspect unauthorised access. Clivo is not liable for loss caused by your failure to safeguard your credentials.

2. LICENSE TO USE THE SERVICE

Subject to these Terms, the EULA, and the Privacy Policy, Clivo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for the internal business purposes of you or the Customer. All rights not expressly granted are reserved.

3. ACCEPTABLE USE

You agree not to:

  • use the Service in breach of any applicable law, regulation, or third-party right;
  • access the Service other than through the App or interfaces we provide;
  • probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure;
  • interfere with, disrupt, or place an unreasonable load on the Service or our infrastructure;
  • reverse engineer, decompile, or attempt to derive the source code of any part of the Service, except as permitted by law;
  • store, send, or distribute material that is unlawful, defamatory, obscene, infringing, or otherwise objectionable;
  • upload personal data you have no lawful basis to process, including scraped or purchased contact lists collected without a lawful basis;
  • impersonate any person or misrepresent your affiliation with any person or entity;
  • use the Service, including its AI features, to build a competing product; or
  • resell, sublicense, or commercially exploit the Service without our prior written consent.

We may suspend or terminate your account if we reasonably believe you have breached this Section or any other part of these Terms.

4. CALLS, MESSAGES, AND CUSTOMER COMMUNICATIONS

4.1 You are solely responsible for every call, email, message, and other communication you make or send through or with the help of the Service, including AI phone calls placed and communications drafted or sent by the AI assistant on your instruction.

4.2 You must comply with all laws that apply to your communications, including, in India, the Telecom Regulatory Authority of India's rules on unsolicited commercial communication and the National Customer Preference Register (Do Not Disturb), and any rules on automated or AI-assisted calls, and equivalent laws in other countries where your contacts are located.

4.3 You must obtain any consent required by law before contacting a person, and honour any opt-out or request not to be contacted.

4.4 You must not use the Service to send spam, run fraudulent or deceptive campaigns, or harass any person.

5. CRM CONTENT

5.1 Ownership

CRM content (contacts, leads, deals, notes, tasks, call records, visit check-ins, voice notes, transcripts, AI assistant conversations, AI call transcripts, data from connected apps, and other records entered into the Service) belongs to the Customer. Clivo does not claim ownership of CRM content.

5.2 License to Clivo

The Customer, and you on its behalf, grant Clivo a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process CRM content only as needed to provide, secure, support, and improve the Service (including syncing across devices and team members, running AI features, creating backups, and routine maintenance), and to comply with applicable law. This license ends when the CRM content is deleted from our systems under the Privacy Policy, except as needed for backup rotation or legal compliance.

5.3 Data protection

For CRM content, the Customer is the Data Fiduciary / data controller, and Clivo processes that data on the Customer's behalf as a Data Processor / processor, as described in the Privacy Policy. Where a Customer requires it, Clivo and the Customer may sign a separate data processing agreement, which will prevail over these Terms on data processing matters.

5.4 Your responsibilities

You are responsible for the CRM content you add. You represent that you, or the Customer, have the necessary rights and a lawful basis to add it, and that it does not infringe any third-party rights or breach any applicable law. You should export and keep your own copies of important CRM content.

6. AI FEATURES

6.1 The Service includes AI features such as voice transcription, business card scanning, AI phone calls, and an AI assistant that can answer questions, draft content, and act on CRM records and connected apps at your request. These features use third-party AI providers named in the Privacy Policy.

6.2 AI output may be inaccurate, incomplete, or unsuitable. You must review AI output (including extracted details, transcripts, drafted messages, and proposed actions) before relying on it or sending it to anyone. Clivo does not guarantee the accuracy of AI output.

6.3 Actions the AI assistant takes on your instruction are treated as actions taken by you.

6.4 Data you submit to AI features is used only to deliver the requested feature and is not used to train AI models, as described in the Privacy Policy.

6.5 Some AI features may be subject to usage limits or credits under your plan.

7. TRIALS, PLANS, AND PAYMENTS

7.1 Trial and plans

We may offer a free trial of paid features. When a trial ends, you or the Customer may choose a paid plan or, where offered, continue on a free plan with limited features. Plans, features, usage limits, and prices are as shown on https://clivo.io/pricing at the time of purchase.

7.2 Purchases on clivo.io

Subscriptions bought on clivo.io are billed in advance for each billing period through our payment partner, with a tax invoice issued to the Customer. Prices exclude applicable taxes (including GST) unless stated otherwise. Unless cancelled before the end of the current billing period, subscriptions renew automatically at the then-current price. Fees paid are non-refundable except where required by law or expressly stated by us.

7.3 No in-app purchases

The App does not sell anything or offer in-app purchases. Plans are bought by organisations on our website.

7.4 Price changes

We may change prices with reasonable advance notice. Changes apply to new purchases and to renewals after the notice period.

7.5 Non-payment

If fees are not paid when due, we may suspend paid features or move the account to a free plan, where offered, after notice.

8. AVAILABILITY AND CHANGES TO THE SERVICE

We aim to keep the Service available at all times, but we do not guarantee that it will be uninterrupted, error-free, or secure. The Service may be temporarily unavailable for maintenance, upgrades, or reasons beyond our reasonable control.

We may modify, improve, or discontinue any feature of the Service. If we discontinue the Service entirely, we will give reasonable advance notice and, where feasible, a way to export CRM content.

9. THIRD-PARTY PLATFORMS AND SERVICES

The Service is distributed through, and works with, third-party platforms and services, including the Apple App Store, Google Play Store, and the service providers named in the Privacy Policy. Your use of those platforms and services is governed by their own terms and privacy policies. Clivo is not responsible for the acts or omissions of those third parties.

10. INTELLECTUAL PROPERTY

The Service, including all software, design, graphics, text, features, and the "Clivo" and "ClivoCRM" names, marks, and logos, is owned by Clivo and its licensors and protected by the intellectual property laws of India and international treaties. Apart from the limited license in Section 2, no right, title, or interest in the Service is transferred to you.

If you give Clivo feedback, suggestions, or ideas about the Service, you grant Clivo a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use them for any purpose, without obligation or compensation to you.

11. TERMINATION

11.1 Termination by you

You may stop using the Service at any time. To delete your account, email support@clivotech.io from the email address linked to your account, or use https://crm.clivo.io/data-deletion. A Customer may end its subscription as described in Section 7.

11.2 Termination by Clivo

We may suspend or terminate access to the Service, in whole or in part, with or without notice, if (a) you or the Customer breach these Terms, the EULA, or applicable law; (b) you engage in fraudulent, abusive, or harmful conduct, including breaches of Section 4; (c) continuing to provide the Service would expose Clivo to material legal, regulatory, or security risk; (d) fees remain unpaid after notice; or (e) we discontinue the Service generally.

11.3 Effect of termination

On termination, the right to use the Service ends. Account data is deleted or anonymised under the Privacy Policy. When a Customer's subscription ends, CRM content is deleted or anonymised within 90 days, unless the Customer asks for an export within that period or longer retention is required by law. Sections 5 (CRM Content), 7 (in respect of amounts owed), 10 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law and Dispute Resolution) survive termination.

12. DISCLAIMERS

To the maximum extent permitted by law, the Service, including AI features and AI output, is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, statutory, or otherwise. Clivo disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Clivo does not warrant that the Service will meet your requirements, operate without interruption, be secure or free from errors, or that any defects will be corrected. Clivo is not responsible for the outcome of any sales, deals, or business decisions made using the Service.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Clivo, its directors, officers, employees, affiliates, agents, and licensors will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, business, data, goodwill, or other intangible losses, arising out of or in connection with the Service, whatever the legal theory and even if Clivo was advised of the possibility of such damages.

To the maximum extent permitted by law, Clivo's total liability arising out of or in connection with the Service will not exceed the greater of (a) the total fees paid to Clivo for the Service in the twelve (12) months before the event giving rise to the liability, or (b) INR 1,000 (Rupees One Thousand only).

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded by law.

14. INDEMNIFICATION

You, and the Customer where you act for it, agree to indemnify, defend, and hold harmless Clivo and its directors, officers, employees, affiliates, agents, and licensors from all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with (a) use of the Service; (b) CRM content; (c) calls, messages, and other communications made or sent using the Service; (d) a breach of these Terms, the EULA, or applicable law; or (e) a violation of any third-party right, including data protection rights of the people whose details are stored in the Service.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated Terms will be posted at https://clivo.io/clivocrm/terms with a new "Last updated" date. For material changes, we will give notice through the App or by email to the address linked to your account. Continued use of the Service after the updated Terms take effect means you accept them. If you do not agree, you must stop using the Service and may delete your account.

16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws principles.

16.2 Jurisdiction

Subject to Section 16.3, the courts of Mumbai, Maharashtra, India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

16.3 Arbitration

Any dispute, claim, or controversy arising out of or in connection with these Terms, including their breach, termination, or validity (a "Dispute"), shall first be attempted to be resolved amicably through good-faith discussions. If the Dispute is not resolved within thirty (30) days of written notice, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator. The seat of arbitration shall be Mumbai, and the language shall be English. Either party may seek interim or injunctive relief from a court of competent jurisdiction.

16.4 Consumer rights

Nothing in these Terms limits any rights that cannot be waived by contract under applicable consumer protection laws.

17. APPLE AND GOOGLE SPECIFIC TERMS

17.1 Relationship with Apple and Google

These Terms are between you and Clivo, not Apple Inc. or Google LLC. Clivo, not Apple or Google, is solely responsible for the Service and its content. Apple and Google have no obligation to provide maintenance or support for the Service.

17.2 Warranty and claims

If the Service fails to conform to any applicable warranty, you may notify Apple or Google, as applicable, and they may refund any purchase price paid through their platform. To the maximum extent permitted by law, Apple and Google have no other warranty obligation for the Service. Claims relating to the Service (including product liability, failure to meet legal requirements, and consumer protection claims) are Clivo's responsibility.

17.3 Third-party beneficiaries

Apple and its subsidiaries, and Google and its subsidiaries, are third-party beneficiaries of these Terms. Once you accept these Terms, Apple and Google will each have the right (and will be deemed to have accepted the right) to enforce them against you, in respect of the Service as delivered through their platforms.

17.4 Export compliance

You represent and warrant that you are not located in a country subject to a US Government embargo or designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.

18. MISCELLANEOUS

18.1 Entire agreement

These Terms, together with the ClivoCRM EULA, the ClivoCRM Privacy Policy, and any data processing agreement or order form signed with a Customer, are the entire agreement between you and Clivo for the Service and supersede all prior agreements, understandings, representations, and warranties.

18.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions stay in effect, and the invalid provision will be replaced by a valid one that most closely reflects the original intent.

18.3 Waiver

A failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. Clivo may assign these Terms, including in connection with a merger, acquisition, or sale of all or part of its business.

18.5 Notices

Notices to Clivo must be sent in writing to support@clivotech.io or to the registered office below. Notices to you may be given through the App, by email to the address linked to your account, or by posting on the website.
